In this Lesson, you are going to learn:

  • Why your legal documents are the Legal Software Coding of your company (Get it wrong and nothing works)
  • Why a Florida LLC probably isn’t the right answer (Seriously, this is important)
  • Why it’s so important that all partners are aligned (How to do this legally)
  •  How to deal with Skeletons in your Closet (HINT: don’t be scared)
  • More Crazy stories from Sam and SanityDesk (Seriously, we won’t disappoint)

Have you ever seen the movie the Social Network? It’s a drama starring Justin Timberlake about the founding of Facebook.

When Mark Zuckerberg went to raise money from the famous investor Peter Thiel, the first thing he said was, “You formed a Florida LLC, what a rookie mistake.” Luckily the idea behind Facebook was so powerful that Peter Thiel helped them through this rough patch, and formed a brand new company - a Delaware C-Corp.

This is an extremely important part of the movie, because it ends in one of the co-founders getting pushed out of the company. And the movie of the Social Network is not that uncommon. It is just a high profile case of what usually happens. Founders tend to not get this stuff right, and oftentimes this ends in them losing their company. Building your company right from the ground up starts here.
