MEET BRAD FURBER
Founder of Aery Advisors
I’m Brad Furber. I’m a seed investor, company advisor, entrepreneur and lawyer. I've been working closely with funders, intermediaries, founders and visionary entrepreneurs just like you for my entire professional career (30+ years).
I want to help YOU help yourself by sharing access to knowledge, expertise and networks that will enable you to meet and exceed your venture finance goals and objectives.
Venture finance is not one size fits all. It requires empathy, design thinking, legal, financial and marketing know-how, strategy, persistence and true grit.
I’ve been a strategic mentor, advisor and angel investor in 50+ tech startups, 15 of which have already achieved an exit or liquidity event. I’ve been engaged to advise on more than 150 angel and venture capital financings, more than 50 mergers and acquisitions, and 10+ public offerings.
Over the past ten years, I’ve lived and worked in four countries – the USA, Denmark, Australia and now Switzerland. I understand that each region and each jurisdiction has its own unique culture and way of doing deals. I’ve seen first hand what’s worked and what hasn’t.
I spoke to a startup founder with a $400K investment from a local investor. He was planning to spend it all to generate $200K revenue. I suggested it might be smarter to spend some of it, say $15K, on a compelling venture finance offer that could improve his balance sheet by $1M or more. That’s what I’m talking about – building foundations and capabilities, and selling your dream to investors who can help you innovate, compete and grow.
I served as President and CEO of a bootstrapped and profitable consumer Internet software + services global tech startup. I was co-founder of an innovative law firm for startups and emerging growth companies. Also, I was a founding business leader of a cross-faculty innovation centre at one of the world’s top 50 research intensive universities.
Companies that trusted Brad Furber in venture finance matters
As a partner, adviser, and friend, Brad is fantastic on all counts. I met him as a forward-thinking client (Xeriton under Brad became our first client), became the beneficiary of his valuable advice, business ideas, and introductions, and have emerged as one of his biggest fans...even though he is one of very few people who has out-negotiated me every time! ;) He's quite the poker player. If you have a startup or even an established business, you should get Brad involved sooner rather than later.
Fiduciary, Advisor, Attorney
Investor Network Builder
I had the pleasure of working with Brad in Copenhagen as a founder, investor, and mentor. He brought the ‘Term Sheet Battle’ concept with him from the US West Coast, where he staged a mock term sheet negotiation between a startup and an investor. The local ecosystem loved the program so much that it has spawned a host of imitators in the Nordic startup scene. Brad worked with a number of startups either as founder, interim CEO, advisor, investor, and mentor.
General Partner @ Andreessen Horowitz
VP of Legal at Highspot
If you get a chance to work with Brad, take it. For almost four years I had the privilege of working with Brad and learned a tremendous amount about resolving complex legal issues and running a business strategically and with a vision. I also valued Brad’s professionalism and friendship and enjoyed collaborating with him on a daily basis. Brad hired me when I was a young lawyer, and in addition to being an outstanding manager, he also was an excellent mentor, leader and advisor, providing a solid foundation for me to succeed in my future endeavors.
Investor Network Builder
We hired Brad to assist with the acquisition of our firm by a publicly traded company. His experience, skill and advice were invaluable during that transaction. We were able to do the due diligence and some of the legal work in-house but it was great to have Brad's expertise on our side. Even though we were on the West Coast, our, acquires were on the East Coast and Brad was in Australia, I firmly believe we hired the right guy. I know we ended up with a better agreement, and would recommend others at least talk to him before doing anything.

Brad helped us raise well over a million dollars
If I could do it over again, I would compress the time that we spent in the early years and bring in expertise as early as possible to make sure that you're enlisting people that have that explicit knowledge, that "I've been there before" experience, to help guide you move forward.
I was fortunate that I've known Brad for a long time. I've known him since he was 20 years old and I've participated with him, watching him work all around the world. He has extensive experience in raising venture capital.

Venture Finance Masterclass
4 powerful venture finance lessons
that will connect you with your target investors
THE FOUNDATIONAL KNOWLEDGE OF VENTURE FINANCE
The first video is about understanding the foundational knowledge of venture finance: the different kinds of options available to create value and build your business.
Without sufficient resources, your business cannot attract, retain and motivate the best people to work for or with you. More money will allow you to invest in the things that make a business valuable: innovation, product and service design, sales and marketing, customer service and even general and administrative.
- Become well versed in how to get access to the resources you need.
- Learn whether you should offer common stock or if it's better to offer convertible debt for investors.
- Know which securities options are the most attractive to the kind of investors that you seek to attract.
- Know the difference between a SAFE and a SAFT and how it can change your future investments.
- See examples of when you should raise money by offering a revenue-backed note.
- Be equipped with knowledge about the three basic forms of equity financing for fast deal closing.
- Know different types of securities and instruments that you can offer to prospective investors
- Learn how to negotiate the key economic terms with bigger-ticket investors, which will work for your startup long-term.
- Learn how can you incentivize and compensate employees, contractors and advisors through equity compensation plans.
The first lesson explains it all.

PUT YOUR STARTUP'S "HOUSE IN ORDER"
Short video trailer of Lesson 2
Learn the essentials of preparing your business properly for investment, including business, financial and legal due diligence matters.
Asking third parties to invest in your business is a bit like inviting someone to come stay in your home. It’s important to make sure you have things neat and tidy – that there’s no piles of dirty laundry, or broken glass on the floor, or, God forbid, unflushed toilets. Ugh…
If you are successful at convincing a prospective investor that your venture is an attractive opportunity, that is only the first step: you still need to get through the due diligence stage.
- Discover 3 ways to do your Tech Startup due diligence process that will increase your odds of convincing investors to say YES.
- Get real world examples of exactly what investors are looking for in legal, financial and business matters.
- Learn from real startup examples what usually goes wrong so you can avoid it.
The second video gives you the essential information on getting your house in order.
SanityDesk is a CRM + Website Builder/Marketing Automation tool that has all of the systems a small business needs to set up, organise, and grow their business online for a low monthly cost
If I hadn't had Brad's coaching, I'd be nowhere close to over halfway subscribed in a 1.35 million dollar pre-seed round for a pre-revenue company
If you do not get your house in order as Brad teaches, you shouldn't go out and raise money.
What I really learned was that the process and the system of getting your house in order is everything. He has an entire tool kit to help you do that in the venture finance course. What he teaches is critical.
-Samuel P. N. Coo, CEO & Founder of SanityDesk.com

- Discover which geographic region you should choose (e.g. Silicon Valley, London, Berlin, Singapore, Shanghai) and why this matters to your investors.
- Prepare yourself to pitch to different types of investors in different circumstances. There's no "one size fits all."
Short video trailer of Lesson 3
MARKET THE OFFER(S)
Short video trailer of Lesson 4

If you can have somebody experienced like Brad, that is huge because it can save you a ton of money
My advice for all founders: it doesn't matter if it's Brad or anyone else, try to have a mentor that can guide you. And Brad is a really good one.
At the beginning, he was giving us advice on the KISS notes and some things were unclear to us. Obviously, we didn't have that much money that we could get top-notch San Francisco lawyers to explain it to us for $500 an hour. So having Brad on our side and going through those little things that are important at the time, was very, very helpful.
