  • Does it matter what jurisdiction you select?
  • Do you know what you don’t know?
  • If you had to hire just one outside professional advisor, who would you call first?

4 powerful venture finance Lessons

Venture Finance 101 Masterclass

The first video is about the foundational knowledge of venture finance: the different kinds of options available.

Venture finance matters because it is, truly, the oxygen that enables your business to breathe. In other words, venture finance is an enabler to provide you with the resources to create value and build your business. Get to know all your tech startup financing options.

Without sufficient resources, a business cannot attract, retain and motivate the best people.

Without sufficient resources, a business cannot invest in the things that make it valuable, including: innovation, product and service design, sales and marketing, customer service and even general and administrative.

  • When it comes to Venture Finance, are you well versed in the various ways you can get access to the resources you want and need?
  • Might you choose a common stock option? Or do you prefer convertible debt?
  • What’s the difference between a SAFE note and a SAFT note? Or should you select a revenue-backed note?
  • Are you familiar with the three basic forms of equity financing?
  • Are you familiar with the many different types of securities and instruments that you can offer prospective investors?
  • If you are in the position to attract more sophisticated, bigger ticket investors, are you familiar with the key economic terms that are usually negotiated?
  • There are a lot of other terms and agreements that can be negotiated. What are the key control terms?
  • Are you familiar with the various ways you can incentive and compensate employees, contractors and advisors through equity compensation plans?

The first lesson explains it all

If you are going to create a compelling offer to investors, it is important that you understand the full range of options, including knowing which options are most attractive to the kind of investors that you seek to attract.

Learn the essentials of preparing your business properly for investment, including business, financial and legal due diligence matters.

Asking third parties to invest in your business is a bit like inviting someone to come stay with you in your home. It’s important to make sure you have things neat and tidy – that there’s not piles of dirty laundry everywhere, or broken glass on the floor, or, god forbid, unflushed toilets. Uggh…  If you are successful at convincing a prospective investor that your venture is an attractive opportunity, that is only the first step: you still need to get through the due diligence stage.

  • What exactly does it mean?
  • What are investors looking for (docs, licenses, stats etc)?
  • Do you know examples of what can go wrong to avoid it?

Learn what an investor-centric offer looks like to get your next multi-million investment round.

Most startup founders  are familiar with product/market fit – that is, “a minimum viable product that addresses and solves a problem or existing need”, or “a good market with a product that can satisfy that market." When it comes to venture finance, that same concept also applies.

In venture finance, the product you are selling is usually some type of security.  There is a large market of potential sources of financing, and that market can be segmented by type of investor or funder (e.g., friends and family, crowdfunding, state sponsored entrepreneur funds, startup accelerators and incubators, angels, micro-VC, corporate seed funds, or traditional VC firms).

Likewise, that market can be segmented by geography, typically by city or region (e.g., Silicon Valley, London, Berlin, Singapore, Shanghai etc.) It is good advice to “fish where the fish are.”  Like a fisherman seeking to catch the ideal fish, you have to select the right fly/bait/lure.

The best entrepreneurs are always ready to pitch, with different pitches that can be tailored to different types of investors.  In order to position your venture for success, you should understand the motivations and investment methodologies and performance metrics for each type of investor.

Compile the essential toolkit to help you find, approach and close your tech venture finance offering(s).

In order to attract your ideal investor, you need to have a complete marketing kit.

Raising capital from third parties is no walk in the park. It is hard work. It requires focus. It requires time. And it usually requires travel, too.

  • Do you know where the fish are?
  • Is it a good idea to employ a “fish finder?
  • Do you have professional advisors that are experienced in the art?
  • Do you have an advisory board?
  • Do you know how to navigate the corporate and securities laws that regulate how and where you may go hunting and fishing for investors?
  • If you could attract any particular investor in the world, do you know who he or she is?

Founder of Aery Advisors

I’m Brad Furber. I’m a seed investor, company advisor, entrepreneur and lawyer who’s been working closely with funders, intermediaries, founders and visionary entrepreneurs just like you during my entire professional career.

I’ve been a strategic mentor, advisor and angel investor in 50+ tech startups, 15 of which have already achieved an exit or liquidity event. I served as President and CEO of a bootstrapped and profitable consumer Internet software + services global tech startup, co-founder of an innovative law firm for startups and emerging growth companies, and founding business leader of a cross-faculty innovation centre at one of the world’s top 50 research intensive universities.

I’ve been engaged to advise on more than 150 angel and  venture capital financings, more than 50 mergers and acquisitions, and 10+ public offerings.

Over the past ten years, I’ve lived and worked in four countries – the USA, Denmark, Australia and now Switzerland. I understand that each region and each jurisdiction has its own unique culture and way of doing deals. I’ve seen first hand what’s worked and what hasn’t. Venture finance is not one size fits all. It requires empathy, design thinking, legal, financial and marketing know-how, strategy, persistence and true grit.

That is what I am sharing in this course.

I spoke to a startup founder with a $400K investment from a local investor. He was planning to spend it all to generate $200K revenue. I suggested it might be smarter to spend some of it, say $15K, on a compelling venture finance offer that could improve his balance sheet by $1M or more. That’s what I’m talking about – building foundations and capabilities, and selling your dream to investors who can help you innovate, compete and grow.

I want to help you help yourself – by sharing access to knowledge, expertise and networks that will enable you to meet and exceed your venture finance goals and objectives.

Brad helped us raise well over a million dollars

If I could do it over again, I would compress the time that we spent in the early years and bring in expertise as early as possible,
because making sure that you're enlisting people that have that tacit knowledge, that "I've been there before" experience, to help guide you forward.

I was fortunate, that I've known Brad for a long time. He has extensive experience in raising venture capital. I've known him since he was 20 years old, and I've participated, watching him work all around the world.

If you can have somebody
experienced like Brad, that is huge because it can save you a ton of money

My advice for all the founders: it doesn't matter if it's Brad or anyone else, try to have a mentor that can guide you. And Brad is a really good one.

If I hadn't had Brad's coaching I'd be nowhere close to, over halfway subscribed, in a 1.5 million dollar pre-seed round, for a pre-revenue company

If you do not get your house in order, like Brad teaches, you shouldn't go out and raise money.
What I really learned was the process and the system, and getting your house in order is everything. He has an entire tool kit, to help you do that in the venture finance course, that he teaches is critical.
